Please read these Terms carefully. They include important provisions about beta features, AI outputs, acceptable use, your content, service changes, disclaimers, limits of liability, arbitration, and waiver of class actions. If you do not agree, do not use the Service.
By creating an account, accessing the Service, clicking to accept, or using any part of the Service, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.
You are responsible for all activity under your account. You must provide accurate information, keep it current, protect your credentials and login methods, and promptly notify us of suspected unauthorized access. We may refuse registration, reclaim usernames, suspend accounts, require verification, or disable access when we believe it is appropriate for security, legal, product, or operational reasons.
mindfree helps users capture thoughts, organize them into lanes and categories, and review what may deserve attention. The Service may include board organization, categories, reminders, archives, email/text/voice capture, transcription, AI-assisted review, and related productivity features. The Service is a tool for your own judgment. It does not make decisions for you.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal or internal business productivity purposes. We reserve all rights not expressly granted.
The Service may be in alpha, beta, pre-beta, preview, testing, or experimental form. Features may be rough, incomplete, inaccurate, unavailable, rate-limited, changed, restricted, removed, or reset at any time. We may collect feedback, usage data, and error information to improve the Service. You understand that pre-release software is not guaranteed to be stable or complete.
You retain ownership of content you submit to the Service, including bubbles, descriptions, categories, notes, recordings, transcripts, emails, texts, feedback, and other inputs ("User Content"). You represent that you have all rights necessary to submit and use User Content with the Service.
You grant mindfree a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, process, transmit, display, modify, analyze, create technical or derived data from, and otherwise use User Content as necessary or useful to operate, provide, secure, troubleshoot, support, improve, and develop the Service, including AI-assisted features and communication capture features.
You are solely responsible for User Content and for the consequences of submitting it. Do not submit content that is unlawful, infringing, confidential information you lack authority to submit, or highly sensitive regulated information unless we expressly agree in writing that the Service supports it.
The Service may preserve history about User Content, including when bubbles were created, edited, moved, categorized, archived, reordered, or processed by automation. This history may be used to operate features, provide review insights, debug issues, maintain auditability, and improve the product. Deleting or changing a current item may not immediately remove associated logs, backups, derived records, or historical records.
The Service may use automated systems and third-party AI model providers to transcribe, summarize, classify, review, prioritize, recommend, or otherwise process your board and communications. AI outputs are generated by probabilistic systems and may be wrong, incomplete, outdated, biased, or unsuitable. You are responsible for evaluating outputs before relying on them.
AI outputs are not legal, financial, medical, therapeutic, employment, tax, safety, or other professional advice. Do not use the Service for emergencies or time-critical decisions. You are responsible for your own actions, decisions, commitments, follow-ups, and results.
If you use email, text, call-in, voicemail, recording, forwarding, or similar capture features, you authorize us and our providers to receive, record, route, store, transcribe, process, and display related content and metadata so the Service can work. You are responsible for complying with call recording, consent, messaging, forwarding, confidentiality, workplace, and communication laws that apply to you. Carrier, messaging, and data rates may apply. We may limit, block, filter, or disable communication features to protect the Service.
If you share categories, boards, views, links, or content, other people may be able to see, use, copy, export, or act on what you share. You are responsible for the people you invite and the information you make available to them. We are not responsible for what recipients do with content you choose to share.
You agree not to, and not to help anyone else:
The Service, software, interfaces, designs, text, graphics, logos, trademarks, trade dress, workflows, algorithms, models, prompts, documentation, and other materials we provide are owned by mindfree or our licensors and are protected by intellectual property and other laws. You may not use our name, branding, logos, or marks without our prior written permission.
If you provide ideas, feedback, suggestions, requests, bug reports, designs, or recommendations, you grant us an unrestricted, perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free right to use, copy, modify, publish, distribute, commercialize, and otherwise exploit them without compensation, attribution, approval, or obligation to you.
The Service may depend on or link to third-party services, including hosting, authentication, communication, transcription, AI, analytics, payment, and integration providers. We do not control third-party services and are not responsible for their acts, omissions, security, availability, terms, policies, outputs, or content. Your use of third-party services may be subject to separate terms and policies.
The Service may be free, paid, partially paid, usage-based, subscription-based, promotional, experimental, or offered under any other pricing model we choose. We may introduce paid plans, paid features, paid usage limits, paid AI processing, paid communications, storage limits, team features, premium support, or other charges at any time. We may require payment to start, continue, restore, expand, or retain access to any part of the Service, including features that were previously free, beta, trial, promotional, or grandfathered.
If we offer paid plans or paid features, you agree to pay all fees, taxes, and charges associated with your plan, usage, purchase, or account. Fees, billing periods, renewal terms, cancellation terms, and plan limits will be shown at purchase, in the applicable order flow, in account settings, or through another reasonable notice method. Unless we state otherwise in writing or applicable law requires otherwise, fees are non-refundable and non-creditable.
We may add, remove, limit, meter, bundle, unbundle, reprice, charge for, discount, or change any feature, plan, usage allowance, trial, promotion, or account benefit at any time. We may convert free, beta, trial, promotional, discounted, or grandfathered access into paid access, discontinue it, or condition continued use on accepting then-current pricing and payment terms. We will not intentionally charge a payment method without authorization where authorization is required by law, but if you provide a payment method and enroll in a paid or renewing plan, you authorize us and our payment provider to charge that payment method for recurring fees, usage-based charges, taxes, and other amounts owed until you cancel according to the disclosed cancellation process.
We may modify, suspend, discontinue, limit, or remove any part of the Service at any time, with or without notice. We do not guarantee uptime, availability, data preservation, compatibility, feature continuity, or uninterrupted access. We may impose limits on usage, storage, API calls, communications, AI requests, retention, or other functionality.
We may suspend or terminate your account or access to the Service at any time if we believe you violated these Terms, created risk, caused harm, used the Service abusively, failed to pay, created legal exposure, or for any other reason permitted by law. You may stop using the Service at any time. Certain provisions will survive termination, including provisions about intellectual property, content licenses, feedback, disclaimers, limitations of liability, indemnity, dispute resolution, and payment obligations.
Our Privacy Policy explains how we collect, use, disclose, retain, and protect information. By using the Service, you acknowledge the Privacy Policy.
The Service is for productivity, organization, capture, and review. It is not a substitute for professional advice. You should consult qualified professionals for legal, financial, medical, mental health, tax, employment, safety, or other specialized advice. You are responsible for your decisions and actions.
THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE MINDFREE.AI RELEASED PARTIES DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AVAILABILITY, SECURITY, RELIABILITY, AND THAT THE SERVICE OR OUTPUTS WILL BE ERROR-FREE, UNINTERRUPTED, COMPLETE, SAFE, OR MEET YOUR NEEDS.
WE DO NOT WARRANT THAT USER CONTENT WILL NOT BE LOST, DAMAGED, ALTERED, DISCLOSED, OR UNAVAILABLE. YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUPS WHERE APPROPRIATE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU RELEASE, WAIVE, AND DISCHARGE THE MINDFREE.AI RELEASED PARTIES FROM ANY AND ALL CLAIMS, DEMANDS, DAMAGES, LOSSES, LIABILITIES, COSTS, EXPENSES, RIGHTS, ACTIONS, AND CAUSES OF ACTION OF EVERY KIND, WHETHER KNOWN OR UNKNOWN, SUSPECTED OR UNSUSPECTED, DISCLOSED OR UNDISCLOSED, ARISING OUT OF OR RELATING TO THE SERVICE, THESE TERMS, USER CONTENT, AI OUTPUTS, COMMUNICATION CAPTURE FEATURES, PRE-RELEASE FEATURES, THIRD-PARTY SERVICES, SERVICE CHANGES, DATA LOSS, SECURITY EVENTS, ACCOUNT ACCESS, OR YOUR USE OF OR INABILITY TO USE THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE MINDFREE.AI RELEASED PARTIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES; LOST PROFITS; LOST REVENUE; LOST SAVINGS; LOST BUSINESS; LOSS OF GOODWILL; LOSS, CORRUPTION, OR DISCLOSURE OF DATA; SERVICE INTERRUPTION; COMPUTER DAMAGE; SYSTEM FAILURE; OR SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IF ANY RELEASE, WAIVER, DISCLAIMER, OR EXCLUSION IN THESE TERMS IS FOUND UNENFORCEABLE, THEN TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ALL MINDFREE.AI RELEASED PARTIES FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED USD $25.
Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, the limitations apply to the maximum extent permitted by law.
You agree to defend, indemnify, and hold harmless the mindfree.ai Released Parties from and against all claims, demands, losses, liabilities, damages, judgments, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your User Content, your use of the Service, your violation of these Terms, your violation of law, your infringement or misappropriation of rights, or your dispute with another user or third party.
To the maximum extent permitted by law, you and mindfree agree to resolve disputes individually through final and binding arbitration rather than in court, except that either party may bring an individual claim in small claims court if it qualifies, and either party may seek injunctive or equitable relief for intellectual property misuse, unauthorized access, security abuse, or confidentiality violations.
YOU AND MINDFREE WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING.
Arbitration will be conducted by a neutral arbitrator under commercially reasonable arbitration rules selected by mindfree unless applicable law requires otherwise. The arbitrator may award relief only on an individual basis. If this arbitration provision is found unenforceable in whole or part, the unenforceable portion will be severed and the remainder will continue to apply to the maximum extent permitted by law.
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles, except where applicable law requires otherwise. If a court proceeding is permitted, you consent to exclusive jurisdiction and venue in the state or federal courts located in Colorado, unless applicable law requires otherwise.
We may update these Terms from time to time. The updated version will be posted with a new effective date. If changes are material, we may provide additional notice where required. Your continued use of the Service after an update means you accept the updated Terms.
You must comply with all applicable laws, including export control, sanctions, privacy, communications, intellectual property, and consumer protection laws. You may not use the Service in embargoed jurisdictions or by prohibited parties where such use would violate applicable law.
You may not assign or transfer these Terms or your account without our prior written consent. We may assign, transfer, or delegate these Terms and our rights and obligations without restriction, including in connection with a merger, acquisition, financing, reorganization, sale, or transfer of assets.
These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede prior or contemporaneous understandings on that subject. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. Headings are for convenience only. The word "including" means "including without limitation." There are no third-party beneficiaries except where these Terms expressly state otherwise.
